Sales and delivery conditions for ISOLERINGSMASKINEN A\/S<\/h1>

Valid from 1 August 2019<\/p>

1. Introduction:<\/h3>

These sales and delivery conditions apply to all offers, sales, order confirmations and deliveries, unless otherwise agreed in writing between the Seller and the Buyer Seller: ISOLERINGSMASKINEN A\/S<\/span><\/a>, hereafter referred to as Seller Buyer: The recipient of goods and services delivered by ISOLERINGSMASKINEN A\/S is hereafter referred to as Buyer.<\/p>

2. Offers, prices and delivery:<\/h3>

All prices given in offers, orders and confirmations are in Danish kroner, excl. VAT, transport, packaging and any public charges, unless otherwise agreed in writing with the Seller.<\/p>

Offers from the Seller without a specified deadline expire after 6 weeks from the offer being sent. Agreements on changes to, or additions to, the original agreement are not binding on the Seller without a written commitment from the Seller.<\/p>

The Buyer's orders and orders of any kind are only binding for the Seller when the Buyer has received a written order confirmation from the Seller.<\/p>

Unless otherwise agreed in writing, delivery takes place ex factory or ex stock. Under these formulations, machines and accessories can in some cases be sent from external suppliers. All shipping, including any free delivery is at the buyer's risk, and it is the buyer's responsibility to keep the delivery insured.<\/p>

3. Payment terms:<\/h3>

Unless otherwise agreed in writing, payment must be made in accordance with the payment conditions printed on the invoice. If payment is not made on time, default interest is calculated at 2 % per started month with the addition of a reminder fee of DKK 100.00 per moves. Credit can only occur after a written agreement with the Seller. If the Buyer's ability to pay is assessed as uncertain, the Seller may demand collateral for the sale of the goods. Possibly. Counterclaims from the Buyer cannot justify non-payment without the Seller's written acceptance.<\/p>

4. Reservation of title:<\/h3>

Ownership of delivered machines and accessories belongs to the Seller and only passes to the buyer when the full purchase price has been paid.<\/p>

5. Errors and deficiencies:<\/h3>

In case of missing, the Buyer must submit a written complaint to the Seller no later than 8 days after receiving the delivered goods. The buyer loses the right to claim defects in the purchased item if the complaint is not forwarded within 12 months of receipt, maximum 18 months after delivery. In no case is the Seller liable for the Buyer's operating losses, lost profits or other indirect losses.<\/p>

Venue:<\/h3>

Any disputes between the Seller and the Buyer shall be settled by arbitration, unless ISOLERINGSMASKINEN A\/S decides that the dispute shall be settled by the ordinary Danish courts.<\/p>

Additional comments:<\/h3>

Please note that GENERAL DELIVERY TERMS NL 92, for deliveries of machines and other mechanical, electrical and electronic equipment between Denmark, Finland, Norway and Sweden and within these countries, apply in addition to the above.<\/p>
